Terms and Conditions – Zipkro

1. Introduction

Thank you for exploring www.zipkro.com or the Zipkro mobile application, collectively referred to as 'Zipkro' – India’s Largest Cashback Site www.zipkro.com. The cashback service is operated by Zipkro (‘We,’ ‘Us,’ or ‘Our,’ including its respective legal heirs, representatives, administrators, permitted successors, and assigns, unless repugnant to the context thereof). By utilizing the various services offered on the Zipkro Platform (‘Services’), you acknowledge these terms, guidelines, and supplemental terms provided for the Services you use (collectively, ‘Terms’). These represent Zipkro’s commitment to enhancing every User’s experience on the platform. Please carefully read these terms and conditions (‘Terms and Conditions’ or ‘Agreement’) as they articulate the legal terms binding you when utilizing the service provided by us through the Website and the App (‘Platform,’ ‘Website’). We will notify our registered members of any material changes to these terms and conditions either by sending a notice to the email address provided during sign-up or by displaying a pop-up on our website/mobile application(s). Kindly revisit this page periodically to review the most recent version of the Agreement.

2. Membership

Any purchases conducted through the ZipKro platform must be exclusively for legitimate personal use. The Zipkro Platform should not be utilized for acquiring items for resale, commercial activities, or financial gain. Pouring Pounds retains the right to block or terminate a user's Zipkro Platform account without prior notice if, according to its risk management criteria, there is a reasonable belief that the platform is being used for unauthorized purposes.

3. Our Services

a. Cashback Service:

Our Cashback Service enables registered users on the Platform ("Members") to earn cashback by making purchases from listed retailers ("Retailers"). To qualify, the Retailer must confirm a Member's purchase as tracked, genuine, and successful, constituting a "Qualifying Transaction," with the resulting cashback becoming "Cashback." This earned Cashback can be transferred to bank accounts once it reaches the minimum threshold set by us. A transaction qualifies when the user, redirected by Zipkro, makes a valid purchase on the Retailer's platform, ensuring delivery and the expiration of the refund/return period. If Retailers don't track a transaction, such sales may not be paid to Zipkro, and expected cashback won't be paid to the Member.

b. Reward Program:

Our Reward program lets users earn Rewards by making purchases through us, redirecting to select retailers offering rewards instead of cashbacks. Rewards cannot be transferred to a user's bank account but can be redeemed via gift cards or wallets, once the minimum threshold set by us is reached.

c. Unique Referral Fee:

The Zipkro Service provides a unique referral fee to Members. Existing Members receive a 10% cashback on each new Member they introduce ("Qualifying Referral"). Referrers qualify as long as they remain Members, but transactions at specific stores may not make them eligible for the 10% cashback. Zipkro adheres to legal standards, and Members must use our website lawfully. We are committed to enhancing our referral program and retain the right to modify its terms at any time without notice.

4. Becoming a Member

If you are an individual, (i) you must be 18 (eighteen) years of age or older to use the Platform, and (ii) by accessing the Platform or agreeing to these Terms and Conditions, you affirm to Zipkro that you are 18 (eighteen) years of age or older. Moreover, you assert that you possess the right, authority, and capacity to utilize the Platform, and agree to abide by these Terms and Conditions. If you are a parent or legal guardian of an individual under 18 (eighteen) years of age, you are allowed to access and use the Platform for the purpose of obtaining Services on behalf of such individuals.

During registration for the Cashback Service, it is imperative that you provide accurate and current information about yourself, including your correct name, address, and any other requested details. If you furnish details of a bank account, UPI, or other payment method for receiving payouts (your “Cashback Receipt Method”), you (a) must ensure that you are fully entitled to use that Cashback Receipt Method, and (b) affirm your desire to receive cashback through that Cashback Receipt Method. You are responsible for keeping this information updated through your Account. We retain the right to discontinue or temporarily suspend any payment methods listed on our site, including UPI, Bank Transfer, or Wallet/Gift Card. The generation and collection of ‘Sensitive Personal Data or Information’ comply with the Information Technology Act, 2000, as amended, and allied rules, requiring the User's explicit consent. By clicking the “I agree with Terms and Policy” button during registration, you provide affirmative assent to such information generation and collection as mandated by applicable laws.

Note that your chosen Cashback Receipt Method (such as Bank Transfer, Gift Cards/Wallets, UPI, or other payment modes introduced in the future) imposes a minimum Cashback threshold that you must reach to withdraw and receive Cashback through the selected Cashback Receipt Method. Crucially, you must ensure that the email address and mobile number we have for you are kept up-to-date, and that you have full access to them. We will send important updates via text messages, emails, app notifications, and, in some cases, via WhatsApp. If you change your email address or mobile number, you must update the details on your Account.

5. Cashback/ Rewards/ and Referral Fees

Upon successful completion of a Qualifying Transaction by a Member, and upon our receipt of the resulting Cashback/Reward for that transaction, we transfer said Cashback/Reward to the Member via their designated Cashback Receipt Method. It's crucial to note that there are instances in which a transaction with a Retailer may not qualify as a Qualifying Transaction, or Cashback/Rewards may not result from it. This holds true for Qualifying Referrals as well. Members acknowledge that all transactions are conducted with individual Retailers, not with us. Our help pages offer additional information on these circumstances. Additionally, Retailers may adjust commission rates, affecting the displayed cashback/Reward offer on our Platform. By default, your transactions will be credited based on the commission reported by the Retailer, which may differ from the advertised rate. We are not liable for any variance between the expected and actual cashback/reward received by the Member.

When we trace a paying, Qualifying Transaction to your Account, we credit it as a 'pending payment.' Once the Retailer confirms the transaction, it will be marked as 'validated,' a process that may take 90 days or more from the purchase date. If the goods are returned or the sale is reversed, the cashback/reward payment will not be processed. Members must inform Zipkro of any returns or exchanges that might impact their earned cashback/reward.

The determination of whether a transaction qualifies as a Qualifying Transaction rests with the Retailer or us, and Members agree to this discretion. We are not responsible if a Retailer fails to report a sale to us or doesn't categorize a transaction as a Qualifying Transaction. We are also not accountable in case of technical errors preventing us from tracing a sale back to the Member. While we will attempt to recover non-payments from the Retailer, the decision of ourselves, the Retailer, or the Retailer’s tracking agent is final. We reserve the right not to pursue missing commission claims, especially when no purchase has been made.

Furthermore, if a Retailer deems a purchase as not genuine for any reason, and we don't receive Cashback/Rewards for the transaction, the Member will not receive any Cashback/Rewards.

When a Member submits an enquiry about missing cashback/reward by raising a ticket, our system checks for an exit click from our Platform to the store on the specified date. If no exit clicks are tracked, the Member will be informed that they did not click via our website before the sale. All exit clicks to stores are stored in the database for cross-reference on adding cashback/reward values. In case a Retailer pays a manual commission claim successfully, you may receive a lower amount due to the amounts received by us possibly being lower than the original claim. We allow you to raise a query with us. If a Retailer hasn't paid a manual commission claim after six months, we reserve the right to close the enquiry claim. Payment for Missing Cashback/Reward is applicable only when the Retailer pays Zipkro. Important: Users intending to raise a ticket for missing cashback/reward must do so within 10 (ten) days from the date of the transaction. No claims will be entertained beyond this timeline.

We reserve the right to reclaim or adjust balances if it is determined that any credit was applied in error. This includes but is not limited to transactions where credit is not genuinely due, payment for any credited transaction has not been received from a Retailer or its agencies, and/or cases of misuse or fraud. This can involve transactions marked as payable or validated in your Account, or transactions already paid over to you by Bank Transfer, Gift Cards/Wallets, UPIs, or any other payment modes introduced from time to time. In such instances, Zipkro has the right to recover all unduly paid cashback/rewards through legal proceedings.

Users must ensure correct details when raising a pay-out request, selecting the withdrawal method (Bank Transfer, Gift Card/Wallet, UPIs, etc.). If incorrect details are provided and we process the pay-out(s), we will not be liable for any such negligence, which will be considered the User's error.

There are various circumstances in which Cashback/Rewards will not be payable to the Member and will be forfeited by us. These circumstances include, without limitation:

If the cashback/reward payment received is not attributed to a Qualifying Transaction or associated with an Account (e.g., when the Member is not logged in to our Platform during the relevant purchase).

If the transaction to which the Cashback/reward relates is canceled after being entered into, whether under the right of cancellation that applies to some sales made at a distance or otherwise.

If the Cashback/Reward is attributed to a suspended Account or one associated with fraudulent activity or any breach of this Agreement. Our help pages provide additional information about these circumstances.

6. Your Account

You are eligible to withdraw/redeem your validated cashback/rewards once you have reached the minimum cashback/reward threshold in your Account. If you choose to close your Account, and at the time of closure, the validated Cashback/rewards in your account is below the minimum threshold limit, the entire amount will be forfeited. However, if the validated Cashback/Reward in your account equals or exceeds the minimum threshold limit, you can request payment using any of the Cashback/Reward Receipt Methods. We retain the discretion to forfeit any validated balance displayed on your Account, as detailed in other sections of this Agreement.

7. Validity of Cashback/ Rewards/ Referral/ Special Bonus

Acknowledgment: You recognize that your Zipkro Earnings will expire if you do not log in to your Zipkro account (via the website or application) for a consecutive period of 2 years.
Preventing expiry of earnings: To avoid the expiration of your Earnings, it is necessary to log in to your Zipkro account via the website at least once every 2 years.
Expired earnings: Once expired, this amount will be removed from the Order Details page and will be categorized under the "Expired Cashbacks" menu as a single entry. Such expired Earnings will not be withdrawable by you.

8. Intellectual Property

You recognize that all copyrights, trademarks, and other intellectual property rights pertaining to the Platform, including the content contributed by Members or Retailers, are either owned by Us or licensed to Us. Copying material from our portal may appear straightforward but is unlawful, and strict actions will be taken against the User/visitor under applicable laws. Therefore, no one is permitted to copy, distribute, display publicly, or create any derivative work from the Platform or any material found on the Platform unless properly licensed by Us.

By uploading or including any material on the Platform, a Member explicitly grants:

To Us, a non-exclusive license (including the right to grant sub-licenses) to use, reproduce, and distribute that material through our Cashback/Reward Service and any other interactive services through which we or our sub-licensee make the Cashback/Reward Service (or a service based on our service) available; and

To other Members (through us, under the license referred to in point 1 above), the non-exclusive, personal, non-transferable right to view the relevant material.

9. Privacy Policy

Our Privacy Policy is an integral part of this Agreement, and by agreeing to this Agreement, you also provide your consent to how we manage your personal data according to that policy. Considering the global reach of the World Wide Web, it's important to be aware that a post on the Platform may be accessible to internet users worldwide..

10. Children's Privacy

Minors are not intended to use our website. We do not intentionally gather personal data from children. Please get in touch with us if you are a parent or guardian and you know that your child has given us personal information.

11. Our Role

We are not involved in any transactions with Retailers, and we do not act as the seller or supplier of the goods or services they provide. Consequently, we do not bear the legal obligations that sellers of these goods or services are subject to. As a result, we do not have control over or assume responsibility for:
The quality, safety, or legality of goods or services offered by Retailers.
Whether the Retailer is capable of supplying and transferring good title to any goods or services.
Members should exercise the same degree of caution in transactions with Retailers as they would in similar offline transactions. To the extent permitted by Applicable Law, you release Us, Our Agents, and employees from all liability related to or arising out of any transactions with Retailers. This includes all claims and demands concerning incomplete or completed transactions, or goods and services offered, sold, or supplied through or in connection with any transactions with Retailers.

12. Misuse

We retain the right to suspend or terminate a Member's access to our service or its parts if, in our reasonable judgment, the Member or Account is deemed to be in violation of any provision of this Agreement.
Members are prohibited from engaging in, or attempting to engage in, any transaction with a Retailer to earn Cashback/Rewards by: (a) providing personal information of someone else or a payment method they are not entitled to use, (b) deceptively or unfairly exploiting a Retailer's offering, including but not limited to creating fake or unauthorized referral links, or (c) breaching any terms and conditions applied by Us or the Retailer to that transaction. We reserve the right to forfeit any pending or validated payments from the Member's Account in the case of such misuse of our service.
Each Member is responsible for ensuring that any material posted by them or associated with their Account: Is not defamatory, offensive, or abusive or of an obscene, indecent, or menacing nature;
Is not intended or likely to cause needless annoyance, inconvenience, or distress to any person;
Does not contain any computer virus, macro virus, Trojan horse, worm, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority, or expropriate any system, data, or personal information;

  • Does not contravene the Applicable Law or regulation;
  • Does not breach the rights of any person or entity, including privacy expectations;
  • Must be accurate and fair in relation to the feedback of Retailers;
  • Does not advertise any goods or services.

Despite the provisions in this Agreement and the Privacy Policy, we reserve the right to investigate complaints or reported violations and take appropriate action, including reporting suspected unlawful activity to law enforcement officials, regulators, or other third parties. Any Member found, in our sole discretion or that of the Retailer, to have committed fraud or misuse Our Platform or Cashback/Reward Service will have their Account closed immediately. The registered email and IP address will also be blacklisted, preventing the Member from using or registering with the same credentials or IP address in the future

If you encounter anything on Our Platform that appears to violate the above requirements, we encourage you to inform us using Our contact form. Each Member acknowledges that we are entitled, though not obligated, to withdraw any material that appears to breach this Agreement based on information received from third parties or other Members.

13. Contact from Third Parties

If there is any contact with us concerning material or transactions linked to you or your Account, you agree:
To furnish all reasonable information and assistance necessary for us to respond to that contact.
To promptly and accurately respond if we relay the message to you for a response.

14. Additional Services

We or our partners may introduce new or supplementary services through this Platform occasionally. Your utilization of such services might be contingent upon additional terms and conditions, which you are obligated to adhere to. As long as these terms are communicated to you on the Platform in an appropriate manner (as determined by us in our reasonable discretion) when you agree to avail yourself of those services, any failure on your part to comply with a substantial provision of the terms regulating those services will constitute a breach of this Agreement.

15. Operation of Our Cashback/ Reward Service

We retain the right to withdraw, modify, or suspend elements of the Cashback/Reward Service, or the entire service, due to legal, security, technical, or commercial reasons. We strive to provide you with a 30-day advance notice before implementing such actions, except in cases where earlier action is necessary for security reasons or due to technical difficulties that could adversely affect our service. Instances of inaccessibility to the Cashback/Reward Service may occur due to technical issues experienced by us or on the Internet. Nevertheless, we commit to employing reasonable skill and care to address these difficulties within our control. While continuous access to the Cashback/Reward Services cannot be guaranteed, we will keep users informed about service unavailability, system maintenance, or server downtime on our portal, minimizing such occurrences to the best extent possible.

Additionally, for security or other considerations, we may prompt you to update your password or other access-related information. However, we will never request your password through email, telephone, or any means other than the Platform. You are solely responsible for maintaining the confidentiality of your password and any additional identifying information.

16. Disclaimer and Limitation of Liability

Disclaimer: The content and material from or through the Platform are provided "as-is," "as available," with "all faults," and all warranties, express or implied, are disclaimed. This includes but is not limited to the disclaimer of any implied warranties of merchantability, non-infringement, freedom from error, and fitness for a particular purpose. The information and services may contain bugs, errors, problems, or other limitations. We and our affiliated parties bear no liability for your use of any information or service, except as provided in subsection 13(d). Specifically, but not limited to this, we and our affiliated parties are not liable for any indirect, special, incidental, or consequential damages (including damages for loss of business, loss of profits, savings, litigation, or the like), whether based on breach of contract, breach of warranty, tort (including negligence), product liability, or otherwise, even if advised of the possibility of such damages.

The negation and limitation of damages outlined above are fundamental elements of the agreement between Zipkro and you. This Platform and the products, services, documents, content, and materials, and information presented would not be provided without such limitations. No advice or information, whether oral or written, obtained by you from us through the Platform or otherwise, shall create any warranty, representation, or guarantee not expressly stated in this Agreement. All responsibility or liability for any damages caused by viruses contained within the electronic file containing a form or document is disclaimed.

Liability: We assure that the Cashback/Reward Service will be provided with reasonable care and skill, intending to meet our specifications for the Cashback/Reward Service. However, we cannot guarantee that the Cashback/Reward Service will meet all your requirements. Our liability is expressly provided in this Agreement, encompassing no other obligation, duty, or liability in contract, tort (including negligence, breach of statutory duty, and any other tort), or otherwise.

Limitation of Liability: Subject to sub-Clause d. below, our liability is limited to direct loss or damage only, whether in contract, tort (including negligence, breach of statutory duty, or other tort), or otherwise, caused by our act, omission, or that of our employees, agents, or subcontractors. The aggregate liability of Zipkro and affiliated parties concerning any claim arising from the Platform, products, information, documents, and services provided hereby shall not exceed Rs 500, acting as a substitute for all other remedies against us and any affiliated party. We are not liable to you or anyone else, whether in contract, tort (including negligence, breach of statutory duty, or other tort), or otherwise for:

  • Loss of revenue, business, anticipated savings, or profits;
  • Errors in or omissions from the Platform, or any services or products obtainable therefrom;
  • The unavailability or interruption of the Platform or any features thereof;
  • Your use of the Platform;
  • The content and materials on the Platform;
  • Any delay or failure in performance beyond our control or any of our affiliated parties.

Moreover, we are not liable for any indirect, special, or consequential loss, damage, costs, or other claims, arising through non-supply or late supply of the Cashback Service, non-performance of this Agreement, or otherwise. Unless expressly stated otherwise in this Agreement, all representations, warranties, conditions, and other terms, whether express or implied, are excluded, except in cases of fraud or where such exclusion is disallowed by Applicable Law.
For clarity, we disclaim liability for material contributed by Members, transactions (or non-transactions) with Retailers, or any activity or communication related to such material or transactions. The provisions of this Clause 14 shall endure the termination or expiry of this Agreement.

17. Third-Party Content Disclaimer

Content and materials from third parties might appear on the Platform or be accessible through hyperlinks from the Platform. We take no responsibility and assume no liability for any errors, misstatements of law, defamation, omissions, falsehood, obscenity, pornography, or profanity in the statements, opinions, representations, or any other form of content and materials appearing on the Platform or accessible through hyperlinks from the Platform.

18. Communication Consent Agreement

By accepting this agreement, you explicitly consent to receiving occasional communications from Zipkro, its affiliates, partners, and third parties. These communications may include updates about the services provided, important information, feedback requests, surveys, marketing materials, or other relevant messages. The communication may be delivered through various channels such as SMS, emails, calls (automated or agent-generated), WhatsApp notifications, mobile application, browser notifications, or any other suitable medium. You agree to receive communications related to the mentioned categories and expressly waive any registration or preferences made under the DND/NCPR list in accordance with applicable TRAI regulations.

19. Indemnification Agreement

You agree to indemnify us against any liabilities, claims, and expenses arising from (a) breaches of this Agreement by you or through your Account, or (b) any transactions with a Retailer.

20. Assignment Clause

We retain the right to assign or subcontract any or all of our rights and obligations under this Agreement, ensuring it does not diminish any guarantees provided to you. However, you may not assign or transfer this Agreement, nor subcontract any of your rights and obligations, without our prior written consent.

21. Entire Agreement Clause

This Agreement is designed to encompass the complete understanding between you and us regarding the Cashback/Reward Service. We consider it fair and reasonable, superseding all prior agreements and understandings, unless there is an instance of fraud or fraudulent representation by either party.

22. Amendment Notification

We retain the right to modify this Agreement periodically and publish the updated version on the Cashback/Reward Service. Once implemented, the new terms and conditions will govern the Cashback/Reward Service and your association with us:
Commencing no less than 3 (three) days after the posting date (or as later indicated by us in the relevant posting) if the changes impact operational provisions that could adversely affect you. If you prefer not to be governed by the new version, you can notify us on or before the effective date, and you must discontinue using our service from that date.
Immediately upon the posting date (or as later indicated by us in the relevant posting) if the changes do not affect operational provisions or are not capable of adversely affecting you. Examples include modifications to contact details or refinements of existing provisions in this Agreement.

23. Validity and Independence Clause

If any provision of this Agreement is deemed invalid or unenforceable, the remaining terms will remain valid and enforceable. Both you and Zipkro are independent entities, and no agency, partnership, joint venture, or employer-employee relationship is intended or established by this Agreement. Our inaction regarding a breach does not waive our right to act on subsequent or similar breaches.

24. Grievance Redressal Information

In accordance with the Information Technology Act, 2000, the Consumer Protection (E-Commerce) Rules, 2020, and related regulations, the designated Grievance Officer for Zipkro under this Agreement is as follows:

If any user is aggrieved and wishes to make a complaint or seek clarification regarding a violation of these Terms of Use, a written complaint may be sent to the Grievance Officer. The Grievance Officer will address the complaint within 1 (One) month of receiving it.

Note: The provided details may be subject to modification at our discretion. Furnishing false, misleading, or inaccurate information to the Grievance Officer may result in civil and/or criminal liability.

25. Jurisdiction and Governing Law

This Agreement and our association with you and every Member are regulated by Indian Laws. Both you and we willingly submit to the non-exclusive jurisdiction of the Indian courts concerning any disputes arising in connection with this Agreement.

26. Access to Agreement

Individual agreements entered into by Members during registration for the Cashback Service are not independently filed. You can access it at www.Zipkro.com. Ensure to create a lasting copy of this Agreement by printing and/or saving a downloaded copy on your personal computer. This Agreement is available in English only.
